LONDON, 25 September 2026: Actis, a leading growth market investor in sustainable infrastructure, today announced the consolidation of its Indian road portfolios into a single new platform – NXT-Infra Trust – consisting of 11 road assets spanning over 3,000 lane km.

This platform brings together assets held by Actis Long Life Infrastructure Fund 1 (held under the privately listed investment trust, NXT-Infra) and Actis Long Life Infrastructure Fund 2. As part of this consolidation process, the NXT-Infra Trust successfully completed the acquisition of road assets held by Actis Long Life Infrastructure Fund 2. As part of the transaction, NXT-Infra and the Sponsors raised INR 11,875 million which witnessed strong participation from leading domestic institutional investors. Following these transactions, Actis funds collectively own c.71% of NXT-Infra.

The consolidated platform creates a scaled-up and diversified operational roads business present in high growth corridors across 10 states in India, with approximately 55% of revenue from Hybrid Annuity Model (HAM) projects and approximately 45% from toll road projects. Assets include the HAM projects Delhi-Meerut Expressway, Chutmalpur-Ganeshpur, Gagalheri-Saharanpur, Chikhali-Tarsod, Amravati, Darah Jhalawar Highways, Vadodara Kim Expressway, Calicut Expressway, and toll road projects Mukarba Chowk-Panipat, Second Vivekananda Bridge Tollway and Vindhyachal Expressway.

Adrian Mucalov, Head of Long Life Infrastructure at Actis, commented: "India's roads carry one of the fastest-growing major economies in the world, and the quality of that network matters – for trade, for communities, for growth. Bringing our long life infrastructure road assets together under a single platform and management team is the logical next step in what we set out to do when we first invested in NXT-Infra: build a platform of genuine scale that can be actively managed, continuously improved, and structured with the aim of delivering long-term, stable returns to our investors."

Sumit Sen, Managing Director, Asia, Long Life Infrastructure at Actis, said: “We’ve built NXT-Infra into one of the largest privately-owned HAM and toll road platforms in India and we believe bringing new assets into the platform in a combined InvIT can help bring strong operational and financial synergies. In our view, a larger, more diversified platform mitigates concentration risk, strengthens the revenue mix and allows our management team to apply established operational, safety and sustainability improvements across a broader portfolio from day one.”

NXT-Infra Trust represents just the latest in a series of transactions in the Indian market by Actis. Last year, the firm acquired a 100% stake of Stride’s 371MW (414MWp) operating solar PV portfolio and launched a strategic joint venture, Bharat Grid Private Limited, with EDF India to support the advancement of smart metering in the country.
